The following Terms & Conditions (the “Terms”) apply when you view or use our Service.BY ACCESSING OR USING OUR SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE WITH OUR TERMS. IF YOU DO NOT AGREE TO THESE TERMS, THEN YOU MAY NOT ACCESS OF USE THE SERVICE.
Codeverse (the “Company”) refers to Americademy, Inc., Codeverse Studios, LLC, and their subsidiaries (collectively "Codeverse", “we”, “us”, “our”, or the “Company”).
Our Service teaches kids how to how to code through any of Codeverse’s programming (the “Service”) on our website (www.codeverse.com), in person at one of our interactive studios, through our software (including but not limited to Kidscript ®) on any of your devices, or by accessing our online programming via third party platforms (including but not limited to Zoom). Users work with instructors in person or over online voice/video chat to learn a range of coding and STEM topics using Kidscript ®.
You need to be at least eighteen (18) years old and a resident of the United States to register for and use the Service. Only parents and legal guardians are allowed to register for the Service. You agree to notify us immediately of any unauthorized use of your password and/or account. The Company will not be responsible for any liabilities, losses, or damages arising out of the unauthorized use of your member name, password and/or account. You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization. You may not use as a username any name that is offensive, vulgar or obscene. The Company is not responsible for any public display or misuse of your user content. The Company does not, and cannot, pre-screen or monitor all user content.
To ensure safe and productive learning, your permission to use the Service is contingent on the following restrictions. You agree that you will not under any circumstances:
When you create an account with us, you guarantee that you are above the age of eighteen (18) and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Service.
You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password. You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization. We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in our sole discretion.
Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be charged for the first month on the date of the first class. For subsequent months, you will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing Cycles are set on a monthly basis from the date of the first class.
If you sign up for a multiple month commitment and receive discounted pricing for the duration of that commitment (“Discount”), you may, at our sole discretion, be subject to an early cancellation penalty of no more than total Discount amount.
The Service and its original content, features, and functionality are and will remain the exclusive property of Codeverse and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Codeverse
The trademarks and trade dress of Codeverse are proprietary to us and may not be used by you for any reasons other than as expressly permitted by these terms. All website content, design, text, graphics, and interfaces; the collection, selection, and arrangement thereof; and all software are property of, or duly licensed to, us. Any other use of materials on the Website, including modification, distribution, or reproduction for purposes other than those noted above, without the prior written permission of Codeverse, is strictly prohibited. You acknowledge that Codeverse and/or third-party content providers remain the owners of all website materials and that you do not acquire any of those ownership rights by downloading, copying, or using any such material in accordance with these Terms. Codeverse may discontinue or remove the website, or any portion thereof, or discontinue your right to use the website, or any portion thereof, at any time.
If you sign up for a Weeklong Camp (“Weeklong Camp”), you will pay a $200 deposit per Weeklong Camp session at the time of purchase. This deposit is refundable up until one (1) month before the Weeklong Camp session begins. You will be charged any remaining balance for the Weeklong Camp one (1) month before the first date of the camp session.
If you sign up for a Day Camp, Kids Night Out, Birthday Party, or similar event (“Event”), you will pay the full price of the Event at the time of purchase.
At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Codeverse cancels it. You may cancel your Subscription renewal by contacting the Codeverse customer support team by email (email@example.com) or by phone (844-644-2633).
A valid payment method, such as a credit card, Apple Pay, Android Pay, or PayPal, is required to process the payment for your Subscription. You shall provide Codeverse with accurate and complete billing information which may include full name, address, state, zip code, telephone number, and a valid payment method information. By submitting such payment information, you automatically authorize Codeverse to charge all Subscription fees incurred through your account to any such payment instruments.
We will not process charges that use an incorrect, expired, or over-the-limit credit card. We will try to contact you if this occurs. If you fail to pay any fees or charges when due, services or privileges may be suspended or terminated. You shall be responsible and liable for any fees, including attorneys' fees and collection costs, that we may incur in its efforts to collect any unpaid balances from you. Should automatic billing fail to occur for any reason, Codeverse will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.
You agree to pay any additional charges associated with your account which may include but are not limited to (1) additional classes, (2) no-show fees, or (3) merchandise purchases. You are responsible for paying these charges when they occur.
Codeverse in its sole discretion and at any time may modify the Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle. Codeverse will provide you with a reasonable prior notice of any change in Subscription fees to give you an opportunity to modify or terminate your Subscription before such change becomes effective. Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.
All sales are final. Certain refund requests for Subscriptions may be considered by Codeverse on a case-by-case basis and granted at the sole discretion of Codeverse. In order to request a refund, send an email with the subject “Refund Request” to firstname.lastname@example.org stating the amount of the requested refund and reason.
We are constantly updating product and service offerings on the Service. We may experience delays in updating information on the Service and in our advertising on other websites. The information found on the Service may contain errors or inaccuracies and may not be complete or current. Products or services may be mispriced, described inaccurately, or unavailable on the Service and we cannot guarantee the accuracy or completeness of any information found on the Service. We, therefore reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice.
You acknowledge and agree that Codeverse retains ownership of all intellectual property rights of any kind related to the Service, including applicable copyrights, trademarks and other proprietary rights. As part of the Service, the Company may provide you with convenient links to third party websites (“Third Party Content”) as well as content or items belonging to or originating from third parties. These links are provided as a courtesy to Service users, but Company is not responsible for the actions of third parties as their actions are outside of our control. Accordingly, you should review the applicable terms and policies, including privacy and data gathering practices, of any site to which you navigate from the Site or relating to any applications you use or install from Third Party Content.
If you wish to cancel your Subscription, you may do so at any time by contacting the Codeverse customer support team by email (email@example.com) or by phone (844-644-2633) prior to the date of your next Billing Cycle. Please note that termination is effective only once confirmed in writing by our team. At the time of cancellation, you will be responsible for any outstanding charges associated with your account. If you do cancel your Subscription, you will no longer be eligible for any promotional pricing in place before cancelling if you decide to reactivate later. If you wish to cancel or terminate your Subscription, you may do so at any time by contacting the Codeverse customer support team by email (firstname.lastname@example.org) or by phone (844-644-2633) prior to the date of your next Billing Cycle. We may cancel or suspend your account and bar access to the Services immediately, without prior notice or liability, at our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
You agree to release, defend, indemnify and hold harmless Codeverse and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password or b) a breach of these Terms. If you have a dispute with one or more users or a third party merchant of a product or service that you review while using the Service, you release Codeverse (and our officers, directors, agents, subsidiaries, joint ventures and employees) from all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.
In no event shall Codeverse, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
THE SERVICE IS PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND. WITHOUT LIMITING THE FOREGOING, THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, REGARDING THE SERVICE INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, SECURITY, ACCURACY AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, THE COMPANY MAKES NO WARRANTY OR REPRESENTATION THAT ACCESS TO OR OPERATION OF THE SERVICE WILL BE UNINTERRUPTED OR ERROR FREE. YOU ASSUME FULL RESPONSIBILITY AND RISK OF LOSS RESULTING FROM YOUR DOWNLOADING AND/OR USE OF FILES, INFORMATION, CONTENT OR OTHER MATERIAL OBTAINED FROM THE SERVICE. SOME JURISDICTIONS LIMIT OR DO NOT PERMIT DISCLAIMERS OF WARRANTY, SO THIS PROVISION MAY NOT APPLY TO YOU.
TO THE EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES, OR ITS LICENSORS OR PARTNERS, BE LIABLE TO YOU FOR ANY LOSS OF PROFITS, USE, OR DATA, OR FOR ANY INCIDENTAL, INDIRECT, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, HOWEVER ARISING, THAT RESULT FROM (A) THE USE, DISCLOSURE, OR DISPLAY OF YOUR USER CONTENT; (B) YOUR USE OR INABILITY TO USE THE SERVICE; (C) THE SERVICE GENERALLY OR THE SOFTWARE OR SYSTEMS THAT MAKE THE SERVICE AVAILABLE; OR (D) ANY OTHER INTERACTIONS WITH THE COMPANY OR ANY OTHER USER OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. ANY LEGAL ACTION BY EITHER PARTY ARISING UNDER THIS AGREEMENT MUST BE FILED WITHIN TWELVE (12) MONTHS FROM THE DATE THAT SUCH CLAIM ARISES, AND BOTH PARTIES WAIVE ANY RIGHT TO FILE ANY ACTION ARISING UNDER THIS AGREEMENT UNDER ANY LONGER STATUTE OF LIMITATIONS PERIOD. These Terms shall be governed and construed in accordance with the laws of the City of Chicago, Cook County, the state of Illinois, and the United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.
In the event that any provision of these Terms is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms and Conditions. Such determination shall not affect the validity and enforceability of any other remaining provisions.
We reserve the right, at our sole discretion, to modify these Terms at any time. It is your sole responsibility to check the Site from time to time to view any such changes. If you continue to use the Site, you signify your agreement to our amendments to the Terms. If we make a material revision to our Terms, we will send an email to the email address that you provided during registration. What constitutes a material change will be determined at our sole discretion. It is your responsibility to keep your contact and profile information current. Any changes to these Terms (other than as set forth in this paragraph) or waiver of the Company’s rights hereunder shall not be valid or effective except in a written agreement bearing the physical signature of an officer of the Company.
For contractual purposes, you consent to receive communications from the Company in electronic form to the email address that you have submitted and agree that all Terms, agreements, notices, disclosures, and other communications that the Company provides to you electronically satisfy any legal requirement that such communications would satisfy if it were in writing. The foregoing does not affect your non-waivable rights. We may also use your email address, to send you other messages, including information about the Company and special offers. You may opt out of such email by changing your account settings or sending an email to email@example.com.

The Codeverse Referral Program (the “Program”) allows you (“Referrer”) to earn cash or Codeverse credit simply by referring friends to Codeverse.
“Referrer” refers to any person who receives a unique referral code for the purposes of promoting Codeverse membership.
The Referrer will use a unique referral code (“Referral Code”) to promote learning to code at Codeverse. Once set, the Referral Code customer cannot be changed. Those that receive Referrer's Referral Code and use it to book a Codeverse membership (“Referral”) will receive a $100 discount (“Referral Discount”) off their first Qualify Registration (as defined below). The Referral Discount cannot be combined with any other discounts, offers, or promotions. Referrals should only be used for personal and non-commercial purposes. You may only refer someone who has not (and whose siblings have not) previously been enrolled in Codeverse. Referral links should not be published or distributed on commercial websites (such as coupon websites, Reddit, or Wikipedia). You may share your Referral Code via email, social media, and/or personal blog(s).
A Qualifying Registration is subject to all Terms and must have a total value equal or greater to one (1) full month of Codeverse membership. The Qualifying Registration must be a first-time membership booked using the Referral Code provided by the Referrer and paid for via the Codeverse platform, and the Referral must complete payment for the Qualifying Registration before the Refferer can receive the Referral Bonus. A Referral can only apply one (1) Referral Code per Qualified Registration.
After the completion of each respective Referral’s Qualifying Registration, the Refferer corresponding to the Referral Code that was used by the Referral will be awarded: (1) one hundred U.S. dollars ($100) cash ("Referral Bonus") if the Refferer is a member of the Parent Advisory Board and/or the Referer is not currently a Codeverse member; or (2) one hundred U.S. dollars ($100) value in Codeverse credit ("Referral Credit") if the Referer is a current Codeverse member.
Codeverse will validate Qualifying Registration(s), pay Referral Bonus, and award Referral Credit at the end of each month. Eligibility of Referrer all Referral Bonus payments, and all Referral Credit awards are subject to the sole discretion of Codeverse. Please note that you are responsible for any and all taxes associated with you receiving the Referral Bonus and you may be subject to filing additional tax forms. We recommend that you contact an accountant if you have any questions about the tax implications of your participation in the Program.
